Terms of Service

1. Acceptance of these Terms

1.1. These Terms of Service (the "Terms") govern your use of KeepSayBot (the "Service"), an assisted-messaging platform operated by to be confirmed, registered in to be confirmed under to be confirmed, with its registered office at to be confirmed ("we", "us").

1.2. You accept these Terms by creating an account, by accepting them where the Service asks you to, or by using the Service. Where the Service asks you to accept a document before a purchase, your acceptance is recorded against the exact version of the document you were shown, together with the language of the page you were shown it in and the moment you accepted. That record, and not your subsequent payment, is our evidence of your consent.

1.3. These Terms are to be read with the Public Offer / Service Agreement, the Privacy Policy, the Refund and Cancellation Policy, the Acceptable Use Policy, the AI Disclosure and the Cookie Notice. Where a Data Processing Agreement applies to you, it governs our processing of personal data on your behalf and prevails over these Terms on that subject.

1.4. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind it, and "you" means that organisation.

1.5. You must be at least to be confirmed years old and legally capable of entering into a contract.

2. What the Service is

2.1. The Service connects to messaging accounts you already hold on third-party platforms — currently Instagram and WhatsApp Business — and helps you answer the people who write to you there. It provides a unified inbox, a configurable knowledge base and writing style, an assistant that prepares replies, a review queue for anything that needs a person, a record of what was drafted, decided and sent, and a simple sales pipeline.

2.2. The Service answers people who have written to you. It is not built to initiate contact with anybody who has not messaged you first, and it provides no functionality for bulk or cold outreach. This is a property of how the product works, not only a rule in this document.

2.3. The Service is provided as software over the internet. We do not provide the messaging platforms themselves, and we are not affiliated with them.

3. Workspaces, accounts and members

3.1. Your use of the Service is organised into a Workspace. A Workspace contains one or more Business Profiles, the people you invite as members, and everything those profiles accumulate.

3.2. A Business Profile is the unit the Service is sold by. One Business Profile may hold up to one Instagram account and up to one WhatsApp Business account or number at the same time. Connecting a second account of either kind requires a second Business Profile.

3.3. Members hold roles that determine what they may do. Some actions are reserved to a Workspace's owner or administrators, including exporting a person's data, requesting a deletion, erasing what the Service has learned about a person, and creating knowledge or style material that every Business Profile in the Workspace can read.

3.4. Removing a member ends their access from their next request onwards. What they did remains recorded and attributed to them: a history that can be edited is not a history.

3.5. You are responsible for your members' use of the Service and for keeping sign-in credentials secure. Tell us promptly at to be confirmed if you believe an account has been compromised.

4. Channel authorizations

4.1. To connect an Instagram or WhatsApp Business account you grant the Service an authorization through the platform concerned. That authorization has a defined scope and may expire or be revoked.

4.2. The platform's own terms apply to that account and flow through to your use of the Service. We cannot override them, and a platform may change them, restrict your account or withdraw access for reasons of its own.

4.3. If you revoke an authorization, or a platform withdraws or expires it, the Service stops working for that Business Profile. Messages may stop arriving and replies may stop being deliverable. We will show you that the connection needs attention, but we cannot restore an authorization you have revoked.

4.4. You confirm that you are entitled to authorise access to each account you connect, and that doing so does not breach any agreement binding on you.

5. How the assistant works, and what it will not do without you

5.1. Automation runs in one of three modes, which you choose, and which you may change at any time:

(a) Off — the assistant prepares nothing;

(b) Draft — the assistant prepares a reply and does not send it until an authorised person reviews, edits or approves it;

(c) Autopilot — the assistant may send a reply without prior human review, subject to 5.2 and 5.3.

5.2. Autopilot sends messages to your customers without a person reading them first. That is what it is for, and you are responsible for the messages it sends in your name, as if you had sent them yourself. Choose it deliberately.

5.3. Regardless of mode, the Service applies determinate safety rules before anything is sent, and holds a reply for a person rather than sending it where those rules are not satisfied. The categories that always require a person include payment disputes and refunds beyond a documented policy, interpretation of legal or contractual questions, medical and other high-risk advice, credential and security matters, serious complaints, unusual or high-value commitments, and any case where a material fact is missing. The operational detail of these rules is product documentation and may change as the Service improves; the principle stated in this clause does not.

5.4. The assistant answers from the knowledge you give it and from the conversation in front of it. It is built not to invent prices, policies, availability, discounts, outcomes or commitments. Where a material fact is missing it asks a question or escalates instead of guessing. It can still be wrong, and 5.6 and clause 14 apply.

5.5. A person always outranks the automation. When a member takes a conversation over — by writing in it, by claiming it, or by pausing it — automated sending for that conversation stops until it is explicitly resumed. If a message is sent from a connected account outside the Service and we cannot correlate it to something the Service sent, the Service treats that as a person having taken over.

5.6. You remain responsible for what is sent from your accounts. We recommend Draft mode until you are satisfied with the assistant's behaviour on your own material.

6. Messaging windows, platform rules and delivery

6.1. The messaging platforms restrict when and how a business may reply. A reply that is permitted inside a window after a customer's message may be prohibited, or may require a different form of message, outside it. The Service observes those rules and will decline to send rather than breach them.

6.2. Where a platform permits a reply outside its ordinary window only with human involvement, the Service routes the conversation to a person instead of sending automatically.

6.3. The Service may group several messages that arrive together and answer them once, and may delay a reply so that it does not arrive with machine-like immediacy. Delivery timing is therefore not guaranteed and is not instantaneous by design.

6.4. Delivery depends on the platform. A message accepted by the Service may be delayed, refused or lost by the platform, and a delivery or read receipt is the platform's statement rather than ours.

6.5. Scheduled follow-ups. Within a conversation somebody has already started, the Service can schedule a later attempt to write to them again. A scheduled follow-up carries no message of its own: when it comes due it asks for a reply through the same path as any other automated send, and the same mode, safety rules and platform restrictions apply. It is not a way to reach anybody who has not written to you, and the Service has no mechanism for that.

7. Your obligations to the people you message

7.1. You decide who is messaged and on what basis. We carry out your instructions. You are responsible for having a lawful basis for communicating with each person, for any consent that basis requires, and for the accuracy of the contact details you use.

7.2. You must honour requests to stop. Where you record an objection in the Service, the Service will keep that objection even if you later delete everything else about the person — because forgetting somebody entirely and remembering never to message them are not compatible, and the objection is the part that protects them.

7.3. You must not use the Service to contact anybody who has not contacted you first, or in breach of any applicable marketing, consumer-protection or data-protection law.

7.4. You must give the people who write to you the information your own privacy obligations require, including, where applicable, that their messages are handled with automated assistance. The AI Disclosure is written so that you may refer to it or reuse it.

8. Acceptable use

8.1. Your use of the Service is subject to the Acceptable Use Policy, which forms part of these Terms.

8.2. We may act under clause 12 where the Acceptable Use Policy is breached.

9. Subscriptions, capacity and payment

9.1. The Service is sold as a subscription. Commercial terms — plans, prices, intervals, capacity, included allowances, add-ons, top-ups, the trial, renewal, upgrade, downgrade and cancellation — are set out in the Public Offer / Service Agreement, which governs them.

9.2. In outline, and without displacing that document: plans differ by Business Profile slots, member seats, included voice-transcription minutes and analytics retention; ordinary assistant replies are included without a published monthly quota, subject to fair use; capacity may be extended with recurring add-ons; voice-transcription minutes may be extended with one-time top-ups.

9.3. Nothing is charged to you automatically beyond your subscription and the add-ons you have chosen. Exhausting an included allowance does not create an overage charge.

9.4. Which entity you contract with, and in which currency, depends on the payment route used for your purchase. The entity is identified in the Service before you pay and in the record of your purchase.

10. Content: yours, your customers', and ours

10.1. Your content. The knowledge, writing-style material, settings and other content you provide remain yours. You grant us the licence we need to host, process and display it in order to provide the Service, and no more.

10.2. Your customers' messages. What the people who write to you send is not yours to license to us, and we do not treat it as though it were. We process it on your behalf, under your instructions, as described in the Privacy Policy and any applicable Data Processing Agreement.

10.3. What the assistant produces. Text the assistant prepares for you is yours to use, edit, discard or send. You are responsible for it once it is sent.

10.4. Learning from your corrections. Where a member edits a prepared reply before approving it, the Service may keep the final wording as an example of your style, so that later replies read more like you. It is kept as a style example and not as a business fact, because how you say something and what is true are different things. You can control and remove style material.

10.5. Ours. The Service, its software, interfaces and documentation remain ours. These Terms grant you no rights in them beyond use of the Service.

11. Third-party providers and outages

11.1. Providing the Service requires third parties: the messaging platforms, providers that prepare text, transcribe audio and compute search representations, a payment provider, and infrastructure. The Privacy Policy describes the categories, and any applicable Data Processing Agreement names them.

11.2. A provider may be replaced. The Service is deliberately built so that no single provider is load-bearing in its design, and we may change one without notice to you where doing so does not change what is processed or where. Where it does, the Privacy Policy and the subprocessor arrangements are updated and, where a Data Processing Agreement applies, notice is given under it.

11.3. Outages are an expected state, not an exception. A platform or provider may be unavailable, rate-limited, or may refuse an operation. When that happens the Service holds work rather than discarding it, and tells you. We do not warrant uninterrupted availability.

11.4. We continue to receive and store the messages your customers send even when the assistant cannot run — including when your subscription has lapsed. A commercial problem must not lose somebody's message.

12. Suspension, lapse and closure

12.1. We may suspend or restrict the Service, in whole or in part, where: a payment is not made; the Acceptable Use Policy is breached; a platform requires it; there is a security risk; or the law requires it. We will restrict no more than the circumstances require, and will tell you what we have done.

12.2. When a subscription lapses or a trial ends without a paid plan, we do not delete your data. Your inbox, history, knowledge, style material and pipeline remain readable according to your access rights. What stops is the paid activity: preparing replies, automated sending and transcription. If you pay again, the Workspace resumes from where it was rather than starting over.

12.3. Where a payment fails on renewal, a grace period applies before paid activity stops. Its length is stated in the Public Offer / Service Agreement.

12.4. You may close your Workspace at any time. Closure and deletion are different things: see the Privacy Policy for what deletion removes, what it keeps, and what you may ask for.

12.5. A refund, a chargeback, a downgrade or a cancellation does not delete your data.

13. Privacy and data processing

13.1. The Privacy Policy describes what we process and why. Where we process personal data on your behalf, a Data Processing Agreement governs it.

13.2. You may export a person's data and may request deletion in a defined scope. Those actions are reserved to a Workspace's owner or administrators, are recorded, and the record holds counts rather than content — a log that quoted an export would be a second copy of it.

14. Disclaimer of warranties

14.1. To the extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including fitness for a particular purpose and non-infringement.

14.2. We do not warrant that text the assistant prepares is accurate, complete or suitable, that Autopilot will always behave as you would, that a message will be delivered, or that a platform will remain available or continue to permit the integration.

14.3. Nothing in this clause limits a right you have that cannot be limited by agreement.

15. Limitation of liability

15.1. To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data, however arising.

15.2. Our total liability arising out of or in connection with these Terms is limited to to be confirmed.

15.3. Nothing in this clause limits liability which cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any liability a mandatory consumer protection imposes.

Unresolved. The cap, its basis and its carve-outs require legal advice — see `../OWNER_DECISIONS.md`, D-8.

16. Indemnification

16.1. You will indemnify us against claims, losses and costs arising from: your use of the Service in breach of these Terms or the Acceptable Use Policy; content you provide; messages sent from your connected accounts; your lack of a lawful basis for communicating with a person; and your breach of a platform's terms.

17. Changes to these Terms

17.1. We may change these Terms. A change is published as a new version, with its own effective date. We do not edit a version that is already in force, because the question "what did this person agree to?" has to stay answerable.

17.2. Where a new version requires acceptance, the Service asks you to accept it, and records that acceptance against the new version. Continuing to use the Service after a change takes effect, where acceptance is not required, means you accept it.

17.3. Material changes will be notified to you in the Service or by e-mail before they take effect, where practicable.

18. Governing law and disputes

18.1. These Terms are governed by to be confirmed.

18.2. Disputes are subject to to be confirmed.

18.3. to be confirmed

18.4. Nothing in this clause deprives you of the protection of a mandatory rule of the law of your place of residence that applies to you.

Unresolved. Governing law, forum, consumer status and withdrawal rights require legal advice — see `../OWNER_DECISIONS.md`, D-8. Nothing is asserted here in either direction.

19. General provisions

19.1. Entire agreement. These Terms and the documents they incorporate are the whole agreement between us on their subject.

19.2. Severability. If a provision is unenforceable, the rest stands.

19.3. No waiver. A failure to enforce a provision is not a waiver of it.

19.4. Assignment. You may not assign these Terms without our consent. We may assign them to a successor in connection with a reorganisation or sale, where your rights are not reduced.

19.5. Notices. We may give notice through the Service or to the e-mail address on your account. You may give notice to to be confirmed.

19.6. Force majeure. Neither party is liable for a failure caused by an event beyond its reasonable control, which for the avoidance of doubt includes the unavailability of a messaging platform or a provider the Service depends on.

19.7. Language. These Terms are published in English and Russian at the same version. Where the versions differ, to be confirmed determines which prevails.
